1. Agreement to Terms

By accessing or using Integrity Layer ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including educational institutions, administrators, instructors, and students ("Users").

2. Description of Service

Integrity Layer is a secure exam lockdown browser designed for educational institutions to maintain academic integrity during online assessments. The Service includes:

  • Desktop application (Electron-based) for Windows and macOS
  • Backend server infrastructure for session management
  • Real-time monitoring and threat detection system
  • Administrative dashboard for proctors and instructors
  • Integration with Canvas LMS and other learning management systems

3. Acceptable Use Policy

When using the Service, you agree to:

  • Use the Service only for its intended purpose of securing online assessments
  • Comply with all applicable laws and institutional policies
  • Not attempt to bypass, disable, or interfere with security features
  • Not reverse engineer, decompile, or disassemble the software
  • Not use the Service to violate the privacy or rights of others
  • Maintain the confidentiality of any access credentials

Violation of these terms may result in immediate termination of your access to the Service.

4. FERPA Compliance

Integrity Layer is designed to comply with the Family Educational Rights and Privacy Act (FERPA). We act as a service provider under the "school official" exception.

Data Collection and Storage:

  • Hardware fingerprints are stored as SHA-256 hashes (not raw data)
  • Session events include timestamps, event types, and fingerprint hashes
  • No personally identifiable information (PII) is collected or stored
  • IP addresses used for rate limiting only, not exposed in admin dashboards
  • All data is encrypted in transit (TLS) and at rest (AES-256)

5. Institutional Responsibilities

Educational institutions using the Service agree to:

  • Inform students about the use of monitoring software during assessments
  • Ensure students provide consent before using the Service
  • Use threat scores and monitoring data responsibly and fairly
  • Provide adequate notice to students regarding assessment security requirements
  • Maintain appropriate data retention and deletion policies
  • Review and investigate security alerts in a timely manner

6. Student Rights

Students have the right to:

  • Know when the Service is being used during an assessment
  • Understand what data is being collected and how it is used
  • Request access to their session data through their institution
  • Appeal any academic integrity determinations made using Service data
  • Have their data deleted after institutional retention periods expire

7. Pricing and Payment

Pricing is based on the number of enrolled students at the institution. Standard pricing is $1.00 per student per academic year, with custom enterprise plans available.

Pilot Program: Eligible institutions may receive one semester free (up to 10,000 students) to evaluate the Service.

Payment terms are Net 30 from invoice date unless otherwise specified in a separate agreement. Late payments may result in service suspension.

8. Service Availability

We strive to maintain 99.5% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation.

Scheduled maintenance will be communicated to administrators with at least 48 hours notice. Emergency maintenance may occur with limited notice if necessary to maintain security or stability.

9. Limitation of Liability

To the maximum extent permitted by law, Integrity Layer shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of data, revenue, or profits
  • Academic integrity violations not detected by the Service
  • False positives or incorrect threat scoring
  • Service interruptions or technical failures

Our total liability shall not exceed the amount paid by the institution in the 12 months preceding the claim.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

  • The Service will detect all academic integrity violations
  • Threat scores are completely accurate or comprehensive
  • The Service is compatible with all hardware or software configurations
  • All security vulnerabilities will be prevented

11. Termination

Either party may terminate service with 30 days written notice. Institutions are responsible for payment through the end of the current billing period.

We reserve the right to suspend or terminate service immediately for violations of these Terms, non-payment, or illegal activity.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to institutional administrators at least 30 days in advance. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to its conflict of law provisions.
